These Terms of Use ("Terms") govern your access to and use of the True Meridian AI website at truemeridianai.com and any services provided by True Meridian AI Transformation ("True Meridian AI," "we," "us," or "our"). By using this website or engaging our services, you agree to these Terms.

You may use this website for lawful purposes only. You agree not to use this site to distribute harmful or illegal content, engage in unauthorized data collection, attempt to disrupt or gain unauthorized access to our systems, or misrepresent your identity or affiliation.
2. Services
True Meridian AI provides AI consulting, automation development, AI agent development, web design, and educational services to businesses. Specific terms for any engagement, including scope, deliverables, payment, and timelines, are set out in a separate statement of work or service agreement signed by both parties.
Onboarded clients may be given access to our secure client portal for file sharing, invoicing, scheduling, and communication with our team. Use of the portal is subject to these Terms, and how it handles your data is described in our Privacy Policy.
3. Intellectual Property
Unless otherwise agreed in writing, True Meridian AI retains ownership of all methodologies, processes, tools, and frameworks developed during an engagement. Upon full payment, clients receive a license to use all custom deliverables built specifically for them. We may reference completed work in our portfolio unless you request confidentiality in writing.
4. Confidentiality
We treat all client business information shared with us as confidential. We do not share client information with third parties except where required by law or as strictly necessary to deliver the agreed services.
5. No Guarantees of Outcomes; Disclaimer of Warranties
We build and implement AI systems to the best of our ability and based on our professional judgment. We do not guarantee specific business outcomes, revenue increases, or performance improvements from any automation, agent, or system we build. Results depend on many factors outside our control.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THIS WEBSITE AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OR REPRESENTATIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OPERATION. NO ADVICE OR INFORMATION OBTAINED FROM US SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN A SIGNED AGREEMENT.
6. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER TRUE MERIDIAN AI TRANSFORMATION NOR ITS EMPLOYEES, CONTRACTORS, AGENTS, REPRESENTATIVES, OR AFFILIATES SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR ANTICIPATED SAVINGS, WHETHER FORESEEABLE OR NOT, ARISING FROM OR RELATED TO YOUR USE OF THIS WEBSITE OR ANY SERVICES PROVIDED BY US, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS RELATING TO OUR SERVICES, REGARDLESS OF THE FORM OF ACTION (WHETHER IN CONTRACT, TORT, STATUTE, OR OTHERWISE), SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

You agree to indemnify, defend, and hold harmless True Meridian AI Transformation and its employees, contractors, agents, representatives, and affiliates from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to: your use of this website or our services in a manner that breaches these Terms; any content, data, or instructions you provide to us; your violation of any law or third-party right; or your misuse of any deliverable we provide.
7. Governing Law
These Terms are governed by the laws of Canada. Any disputes arising from these Terms or our services will be resolved through good-faith negotiation first. If negotiation fails, disputes will be submitted to binding arbitration.

We may update these Terms from time to time. Continued use of this website after changes are posted constitutes acceptance of the updated Terms. We will update the date at the top of this page when changes are made.
